The parties have reached a settlement of the Action for $110,000,000 in cash (the "Settlement") that resolves all claims in the Action. On October 5, 2021, the Court held a hearing on the Settlement and related matters. Following the hearing, the Court entered an Order and Final Judgment finally approving the Settlement, approving the Plan of Allocation for the proceeds of the Settlement, and awarding attorney's fees and litigation expenses to Plaintiffs' Counsel.

The Settlement Class consists of:

All holders of GCI Liberty Series A common stock as of December 18, 2020, the date of the consummation of the Merger (excluding certain persons and entities who are excluded from the Settlement Class by definition as set forth in the Notice (see paragraph 34 of the Notice))

The settlement administration was completed in December 2022. On December 19, 2022, the Motion for Class Distribution Order was filed. On January 9, 2023, the Court entered the Class Distribution Order. First distribution of the net settlement fund occurred in June 2023. The second distribution will occur in the fourth quarter of 2024. Subsequent distributions will occur on a rolling basis, provided that net settlement funds are available.
